Contract Terms and Conditions
- Standard Terms and Definitions’ Section
The section lists the names and addresses of the parties involved in the contract, that is, the company and the client. The contract should indicate when the agreement starts and when the services will come to an end. The section indicates the person/s who shall be responsible for the key to the premises, and when access shall be permitted. The definitions’ section, on the other hand, outlines the interpretation of the entire contract. The section describes key terms in the contract that are common in the parties’ trade. The section also allows the parties of the contract to get the exact meaning of the terms in their agreement; to limit their scope to the contract and prevent broader interpretations than what was intended by the parties to the contract. The definition section also outlines meanings to terms that may be open to alternative meanings in general.
- Services
The services’ section describes the scope of work and service to be provided by the company to the client. The section also states that the company providing the service shall not expose the personnel to risk of injury of any sort. The client is also mandated to provide emergency services whenever an accident occurs and pay the additional charges that incur in that regard. The section also provides the company with the authorization to sub-contract, whenever need arises, at the company’s discretion. Ultimately, the services’ section outlines and describes the services that the company shall offer to the client.
- Performance
The performance section describes the ability of the company to provide the best cleaning services. The section should also explain the type of cleaning that the company performs. The section also includes a clause pertaining to the fact that the client can inspect the premises at any time to ensure that the service meets the client’s expectations. In case the client discovers any faults or irregularities, the client has the right to send a notice to the company and withhold payment until the company resolves the problem. The company should also agree to address the faults and irregularities as soon as possible.
- Payment
The contract should outline the amount and mode of payment; per hour, visit, or any other payment structure. If the company has to offer a service that is beyond what is stated in the agreement, the client has to compensate the company forthwith. The company shall double the payments over the holiday period, unless agreed otherwise in writing by either party. The section also indicates that the payments exclude the Value Added Tax (VAT) or any other tax imposed by the government. The purpose is to reduce the amount of money spent by the company on behalf of the client. The section should also explain the measures to be taken if a payment cancellation has to take place.
- Liability and Insurance
The section outlines the company’s liability to the client and vice versa. For instance, if any party breaches the contract, the other party shall claim compensation or damages. In addition, if an employee of the company destroys the client’s property or commits illegal acts in the client’s premises, the client has the right to impose fines on the company that should be paid as soon as reasonably possible. The section also recognizes that the company shall view the client and its employees as the beneficial owners of the client’s business; this is to prevent any disagreements that may arise in future.
