For the business entity, Breanna Lyon is proposing a limited partnership, which I agree with as the best structure that would fit the agreement Shania has with the husband. A limited partnership is suitable because the general partner will be managing the business and will have unlimited personal liability for the obligations and debts of the business. In contrast, the limited partner does not participate in management (Steele, 2009). In the case presented, since Shania’s husband is willing to provide capital but is not ready to participate in management, he would be the limited partner. Shania will oversee all administrative, management, and operational aspects of the business, which makes her a general partner.
The author has given strong statements and reasons why Shania should not use the name “gathering place” based on the trademark and name search in the Colorado Department of State website. I agree that since four entries have been registered under trademark and bear the same name, it would be explicitly challenging for Shania to adopt the same name for her business. Secondly, the author notes that some company has registered their names under “the gathering place,” which should also limit the use of this name. I also agree with this statement, because the name of a business is essential not just to the brand and the owners, but also the customers. Business names offer unique marketing opportunities because they communicate something unique about the business and what it stands for. Suppose another company uses the same name and is caught up in some form of unethical or lousy behavior; customers would assume its Shania’s coffee house. And therefore, based on the reasons stated, I agree that the name should be changed to something else.
Hiring the right people is vital in business, and this is correctly mentioned in the post (Murphy, 2012). The author also says the general silent rule of keeping family away from business. To some extent, there is some level of truth in that statement, because the family can ruin business. In the case of Kelsey, the author recommends that she should be hired. I disagree. The Bible asks wives to submit to their husbands, and therefore since her husband wants her to stay home, involving her in the business would amount to marriage insubordination. I also disagree with the author about Shania employing Carlos. If Shania wants to start her business and establish it on Christian principles, then there is no way Carlos can come on board. This does not mean that Carlos is the wrong person. The problem Shania will have with Carlos is that they will not agree on how to run the business. Carlos will come up with secular ideas, while Shania will maintain her Christian principles. The Bible warns Christians against being yoked with non-believers (Kippenhan, 2019). 2nd Corinthians 6:14, “Do not be yoked together with unbelievers. For what do righteousness and wickedness have in common? Or what fellowship can light have with darkness?”
